Command: summarize-new-contract
Extract and summarize key terms and risk flags from a contract for legal review.
Inputs
- contract file — PDF or Word document uploaded to this task (required)
- contract type — e.g. SaaS agreement, NDA, employment contract, vendor agreement; describes the legal framework and priority risk areas
- counsel assignee — email of the attorney or paralegal who will review and approve (default: use current workspace's designated legal contact)
- red-flag keywords — optional comma-separated list of high-priority terms to surface (e.g. "indemnity, liability cap, termination clause")
Steps
- Extract full contract text from the uploaded file into a private work document (do not share with external parties).
- Identify primary contract type and key sections (e.g. term, termination, liability, IP (intellectual property), confidentiality) and summarize each in 1–3 sentences.
- Flag legal risk areas: indefinite terms, one-way liability, uncapped damages, perpetual confidentiality, unilateral termination rights, or any conflict with standard organizational policies.
- Create an approval task assigned to counsel with the summary and risk flags listed in the task description; attach the original contract file to the task (not pasted in the description).
- Add a "not legal advice — attorney review required" notice at the top of the task description.
Constraints
- Store all contract text and analysis in secure task files or document storage, never in task memory or titles.
- Do not contact external parties, regulators, or counterparties with analysis results.
- Flag missing data: if the contract lacks a key section, state "section not found" rather than guessing.
Done when: counsel is assigned a task with summary, red flags, original file, and legal review notice, ready to approve or reject in-org.
